These terms of sale (hereinafter the "Terms of Sale") govern the entirety of the contractual relationship between Evorax Technologies, as seller (hereinafter the "Publisher", "Noryo" or "we"), and any natural person subscribing to a paid plan of the Noryo service (hereinafter the "Customer" or "you"). They are provided to the Customer prior to any subscription and their express acceptance is a condition of that subscription. The Customer acknowledges having read and accepted them without reservation.
Article 1 - Definitions

- Publisher
- Evorax Technologies, seller of the paid Plans of the Service.
- Customer
- any natural person subscribing to a paid Plan.
- Service
- all of the sites, applications and features provided under the Noryo brand.
- Plan
- any paid subscription offered within the Service.
- Subscription
- the subscription to a Plan for a fixed, renewable period.
- Trial period
- the free period that may be offered prior to the first charge.
- Digital content
- the data produced and supplied in digital form as part of the Service.
Article 2 - Purpose and scope
2.1 Purpose
The purpose of these Terms of Sale is to define the conditions of sale of the paid Plans and the rights and obligations of the parties.
2.2 Scope
They apply to any subscription made through the site, the customer area or any compatible payment platform, and supplement the Terms of Use, which remain applicable.
2.3 Enforceability
The applicable Terms of Sale are those in force on the date of the order. The Customer is invited to review them before each subscription.
Article 3 - Identity of the seller
The Plans are marketed by Evorax Technologies, operating under SIREN 102 146 594, whose full identification appears in the Legal Notice. In accordance with Article 293 B of the French General Tax Code, value added tax is not applicable.
Article 4 - Essential characteristics of the Service
The Service is a personal financial organisation tool for informational purposes, accessible online and on mobile applications. Its essential characteristics, as well as the scope specific to each Plan, are presented to the Customer before the order, on the presentation and pricing pages. The Service does not constitute financial advice (see the Financial Disclaimer) and its operation is described in the Terms of Use.
Article 5 - Plans
5.1 Description
The Service is offered through a free plan and paid Plans (Premium and Ultra). The functional scope of each Plan is presented at the time of subscription and may change under the conditions of the Terms of Use.
5.2 Availability
The Plans are offered subject to their availability at the time of the order. The Publisher reserves the right to modify the composition of its Plans for the future, without prejudice to ongoing Subscriptions.
Article 6 - Prices and taxes
6.1 Prices
Prices are stated in euros. As value added tax is not applicable (Article 293 B of the French General Tax Code), the amounts are understood to be net of tax. The applicable price is the one displayed at the time of the order.

6.2 Price changes
The Publisher may change its prices for the future. Any price change applicable to an ongoing Subscription is brought to the Customer's attention in good time before it takes effect, the Customer remaining free to terminate before the change takes effect.
Article 7 - Trial period
Where a free trial period is offered (seven days by default), no amount is charged before it ends. The Customer may terminate before the expiry of the trial period in order to avoid any charge. Otherwise, the Subscription continues and the charge takes place at the end of the trial period, at the announced price.
Article 8 - Subscriptions made through the App Store
Article 9 - Promotional offers
Any promotional offer may be subject to its own conditions of duration, eligibility and combination, specified at the time it is applied. A promotional offer may not be claimed beyond the conditions accompanying it nor retroactively.
Article 10 - Order
10.1 Ordering process
The order is placed online. The Customer selects the Plan, checks the summary and the price, then validates the order, which entails an obligation to pay.
10.2 Formation of the contract
The contract is formed upon validation of the order and acceptance of payment. The Publisher reserves the right not to act on an order that is abnormal, abusive or fraudulent in nature.
10.3 Confirmation
The order is confirmed electronically, summarising the essential elements of the subscription.
Article 11 - Payment
11.1 Means of payment
Payments made on the site are processed by the payment provider Stripe. The Publisher does not retain any full bank card number.
11.2 Authorisation and security
The Customer warrants that they hold the authorisations necessary to use the chosen means of payment. Transactions are secured by the payment provider, where applicable by means of strong authentication.
11.3 Payment default
In the event of default, rejection or delay in payment, access to the paid features may be suspended until the situation is resolved, without prejudice to the Publisher's other rights.
Article 12 - Billing, receipts and proof
A proof of payment is made available to the Customer electronically. The computerised records kept by the Publisher and its payment providers, under reasonable security conditions, are considered proof of the transactions that have taken place, without prejudice to the Customer's right to provide evidence to the contrary.
Article 13 - Term, renewal and termination
13.1 Term
The Subscription is concluded for the chosen period, monthly or annual.
13.2 Automatic renewal
Unless otherwise stipulated, the Subscription is automatically renewed for successive periods of identical duration. In accordance with the provisions of the French Consumer Code relating to the renewal of contracts, the Customer is informed of their right not to renew under the conditions provided for by law.
13.3 Simplified termination
The Customer may terminate at any time from their customer area, by a process at least as simple as that of subscribing. Termination takes effect at the end of the current period, with paid access remaining active until that date. No pro rata temporis refund is due in respect of the period already begun, subject to Article 14.
13.4 Subscriptions made through the App Store
Termination of Subscriptions taken out through the iOS app is carried out from the Customer's Apple account.
Article 14 - Right of withdrawal
14.1 Principle
The consumer Customer is in principle entitled to a period of fourteen days to exercise their right of withdrawal, in accordance with Articles L221-18 et seq. of the French Consumer Code.
14.2 Exception relating to digital content
Where performance of the digital service has begun immediately after the order, with the Customer's express consent and their express waiver of the right of withdrawal, that right may no longer be exercised once the service has been fully supplied.
14.3 Means of exercise
Where the right of withdrawal is applicable, the Customer may exercise it by means of an unambiguous statement sent to legal@noryo.app or using the standard withdrawal form.
Article 15 - Refund
The conditions and procedures for refunds are specified in the Refund Policy.
Article 16 - Statutory warranties
16.1 Statutory warranty of conformity
The Customer benefits from the statutory warranty of conformity applicable to digital content and services, under the conditions of Articles L224-25-1 et seq. as well as L217-1 et seq. of the French Consumer Code. On this basis, the Publisher is liable for conformity defects existing and, for digital content and services supplied on a continuous basis, arising during the supply.
16.2 Warranty against hidden defects
The Customer benefits from the warranty against hidden defects under the conditions of Articles 1641 et seq. of the French Civil Code.
16.3 Implementation
The statutory warranties are implemented free of charge by contacting legal@noryo.app. These warranties apply independently of any commercial warranty and without prejudice to the right of withdrawal.
Article 17 - Customer's obligations
The Customer undertakes to provide accurate information when ordering, to use the Service in accordance with the Terms of Use and the Acceptable Use Policy, and to pay the price on the agreed due dates.
Article 18 - Intellectual property and licence
Subscribing to a paid Plan grants the Customer a personal, non-exclusive and non-transferable right to use the corresponding features, for the duration of the Subscription and for their own needs. It does not entail any transfer of intellectual property rights, which remain governed by the Terms of Use and the Legal Notice.
Article 19 - Reversibility and data retrieval
The Customer may, at any time and including after the end of the Subscription, export their data from the Service, under the conditions specified on the Exercising your rights page. The termination of the Subscription does not, in itself, entail deletion of the account; the fate of the data is governed by the Privacy Policy.
Article 20 - Liability
To the extent permitted by law and without prejudice to mandatory consumer-protection provisions, the Publisher's liability under these Terms of Sale is limited to direct and foreseeable damage resulting from a breach attributable to it. The characteristics and limits of the Service are further described in the Terms of Use and the Financial Disclaimer.
Article 21 - Personal data
The processing of personal data is described in the Privacy Policy.
Article 22 - Complaint and consumer mediation
22.1 Prior complaint
Prior to any mediation, the Customer sends a written complaint to legal@noryo.app in order to seek an amicable solution.
22.2 Recourse to the mediator
In accordance with Articles L611-1 et seq. of the French Consumer Code, the consumer Customer has the right to use a consumer mediator free of charge.
Article 23 - Customer service
For any question relating to an order, a payment, a receipt, a renewal or a billing difficulty, the Customer may write to legal@noryo.app, indicating the email address associated with their account.
Article 24 - Force majeure
The Publisher cannot be held liable in the event of non-performance resulting from a case of force majeure within the meaning of Article 1218 of the French Civil Code.
Article 25 - General provisions
25.1 Partial invalidity
If any provision of these Terms of Sale is declared void or unenforceable, the other provisions retain their full effect.
25.2 No waiver
The fact that the Publisher does not rely on a provision shall not constitute a waiver of its right to rely on it later.
25.3 Assignment
The Publisher may transfer these Terms of Sale as part of a reorganisation or transfer of business, without diminishing the Customer's rights.
25.4 Entire agreement and language
These Terms of Sale express the entire agreement of the parties relating to their subject matter. The French version prevails.
Article 26 - Governing law and jurisdiction
These Terms of Sale are governed by French law. Failing amicable resolution or successful mediation, the dispute falls within the jurisdiction of the competent courts according to the applicable rules of law, the consumer being able in particular to bring the matter before the court of their place of domicile.
Article 27 - Updates to the Terms of Sale
The Publisher may amend these Terms of Sale to take account of legal, regulatory, economic or Plan developments. The Terms of Sale applicable to an order are those in force on the day of that order. Substantial changes applicable to ongoing Subscriptions are brought to the Customer's attention in good time, the latter remaining free to terminate under the conditions of Article 13 before they take effect.
